These terms govern your use of lideum.com. Please read them before using the site.

1. Acceptance of these terms
This site is operated by Lideum Inc. ("Lideum", "we", "us"), 61 Greenpoint Ave, Suite 695, Brooklyn, NY 11222, USA. By accessing or using lideum.com you agree to these Terms of Use and to our Privacy Policy. If you do not agree, please do not use the site.
We may revise these terms at any time. The effective date above indicates when they were last changed, and your continued use of the site after a revision constitutes acceptance of it.
2. Scope, and what these do not cover
These terms govern the website only. Any engagement to perform services is governed by a separate written agreement executed between Lideum and the client. Where that agreement and these terms differ in relation to the engagement, that agreement prevails.
Nothing on this site constitutes an offer capable of acceptance, and no client relationship is created by using the site or by submitting the contact form.
3. Permitted use
You may access and view the site for lawful business purposes. You agree not to:
- use the site in violation of any applicable law or regulation;
- attempt to gain unauthorized access to the site or its underlying systems;
- interfere with the operation of the site, including by automated means that impose an unreasonable load;
- scrape, harvest or systematically extract content except as permitted by section 4;
- use the contact form to send unsolicited commercial messages.
4. Intellectual property
The site and its contents, including the design, copy, code, graphics and the Lideum name and marks, are owned by Lideum or its licensors and are protected by intellectual property laws. Lideum is a trademark in the United States.
You may quote short extracts with attribution and a link to the source page. Reproducing, republishing or distributing the site or substantial parts of it, or using it to train a model for commercial purposes, requires our prior written consent.
Photography on this site is licensed from third parties and is not included in any permission granted above.
5. Client names and third party marks
Client names, logos, screenshots and testimonials appear with permission and remain the property of the respective owners. Their presence does not constitute an endorsement of Lideum beyond any statement actually attributed to them, and testimonials are reproduced as given.
Platform and vendor trademarks are used solely to identify those products. Lideum is not affiliated with, endorsed by or sponsored by those companies except where expressly stated on this site.
6. Submissions through this site
Information you submit through the contact form is handled as described in our Privacy Policy. Email is not a secure channel. Do not submit credentials, payment card details, or information subject to a confidentiality obligation you owe to a third party. Where an engagement requires such material, a secure method will be agreed first.
You confirm that any information you submit is accurate and that you are entitled to provide it. Submitting an inquiry does not oblige Lideum to accept the work.
7. Third party links and services
The site links to and may embed content from third parties, including client websites and a scheduling service. Those services are controlled by others and governed by their own terms and privacy policies. We are not responsible for their content, availability or practices.
8. Disclaimers
The site and its contents are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Lideum disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non infringement.
Content on this site, including articles and case studies, is provided for general information. It is not professional advice for your circumstances, and any timeline, result or figure described reflects a specific engagement rather than a commitment as to yours. We do not warrant that the site will be uninterrupted, secure or free of error.
9. Limitation of liability
To the fullest extent permitted by law, Lideum and its officers, employees and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or goodwill, arising out of or in connection with your use of the site.
Nothing in these terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for death or personal injury caused by negligence, or for fraud.
10. Indemnification
You agree to indemnify and hold harmless Lideum from any claim, liability, loss or expense, including reasonable legal fees, arising out of your breach of these terms or your misuse of the site.
11. Governing law and jurisdiction
These terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. The state and federal courts located in Delaware will have exclusive jurisdiction over any dispute arising out of these terms, and you consent to that jurisdiction and venue. An engagement agreement may specify otherwise, and where it does, it governs that engagement.
12. General
If any provision of these terms is held unenforceable, the remaining provisions remain in full force. Our failure to enforce a provision is not a waiver of it. These terms, together with the Privacy Policy, constitute the entire agreement between you and Lideum regarding the site. You may not assign these terms; we may assign them in connection with a merger, acquisition or sale of assets.
